TERMS AND CONDITIONS – THERMOGRAPHIC SERVICES

General
1. These Conditions shall apply to all work undertaken by Somerhill Consulting Services Ltd t/a ScanTherm Surveys (SS). No additions or variations shall apply unless agreed in writing.
2. SS reserve the right to decline an order without providing a reason.
3. SS reserves the right to terminate a contract prior to completion by providing 1 month’s written notice.
Quotations and Charges
1. All Fees and Charges shall be in accordance with the quotation provided by SS.
2. Quotations shall be valid for a period of 30 days, unless otherwise agreed.
Surveys
1. The Client shall be responsible for ensuring that SS has the correct permission to be on site to complete all necessary testing/inspections.
2. The Client shall ensure that the owners/occupiers have sufficient insurance to cover all liabilities arising from:
  1. Injury to SS staff or subcontractors while on site
  2. Accidental damage to SS’s equipment or property whilst on site
  3. Damage or injury to third party whilst on site

Postponement/Cancellation Policy
1. A Target Date will be agreed in advance as required. Upon receipt of PO or acceptance of SS offer:
  1. Cancellation by Client without agreement of SS will result in 15% of the Fee being due plus any direct costs incurred to date.
  2. Cancellation at Client request within 2 weeks of Target Date will result in 50% of the Fee being due plus any direct costs incurred to date
  3. Cancellation at Client request within 1 week of Target Date will result in 100% of the Fee.
2. Many of our Tests are extremely weather dependent and limited opportunities exist to conduct this type of survey. Once a Test Date is confirmed the following terms apply:
  1. If Postponement is requested by SS due to changing weather forecasts creating a risk of lack of compliance with required test standards and norms, this will not incur any Fee or damages to either party.
  2. If Postponement within 5 days of the agreed Test Date at the Client request as a result of an incomplete building or lack of access or for any other reason, 50% of the applicable Test Fee is chargeable and a Retest will not be scheduled until this Fee is received unless otherwise agreed.
  3. If Postponement within 24 hours of the agreed Test Date at the Client request as a result of an incomplete building or lack of access or for any other reason, 100% of the applicable Test Fee is chargeable and a Retest will not be scheduled until this Fee is received, unless otherwise agreed.

Limitations of Liability
1. SS shall exercise due care, reasonable skill and diligence in order to complete all work, producing reports and providing guidance. However, SS shall not be liable for any loss of earnings or damage, whether direct or indirect, arising from the use of reports, certificates, information or advice issued by SS.
2. SS shall not be liable for loss, expense or damage incurred by the Client, resulting from a delay in completing the Test, investigation or consultancy.
3. SS shall not be liable for loss or damage to the property arising from the Test.
Payment
1. SS invoice will be issued dated with the survey Test Date.
2. Payment is due on receipt of Invoice unless otherwise agreed.
3. Final report and copy of any certificates required will not be issued by SS until full payment of the Fee has cleared.
4. If a Retest is required for whatever reason, it will be at the original Fee unless otherwise agreed.
5. We may exercise our statutory right to claim interest and compensation for debt recovery costs under The Late Payment of Commercial Debts (Interest) Act 1998 if we are not paid according to the agreed terms. Interest may be claimed at 8% over Bank of England Base Rate (at the previous 31st December or 30th June) together with compensation at the rate of £100 per invoice.
